Vir baie verkopers is die idee om die besigheid wat hulle van die grond af opgebou het te verkoop aan 'n private-ekwiteitfonds ondenkbaar. Baie het al gruwelverhale van hul vriende gehoor, dalk boeke gelees oor die slaggate van private-ekwiteitkopers, en het dalk selfs 'n paar persoonlike ervarings. Alhoewel die hantering van private-ekwiteitfondse vir verkopers problematies kan wees, is hulle dikwels ook die beste, mees logiese koper. Hulle is goed befonds, so daar is min risiko dat die transaksie sal deurbreek as gevolg van die onvermoë om te finansier. Wat is hierdie slaggate? Hier is 'n paar:

  • Daar is 'n groot gaping tussen wat van die fonds verwag word as dit met data verband hou en wat geredelik toeganklik is vanaf die verkoper. Hoe oorbrug jy daardie gaping?
  • Wees bewus daarvan dat Private Equity wiskunde baie ingewikkeld is. Sal hulle hefboomwerking tot die transaksie bring? Waar sal daardie skuld sit? Sal dit hul ekwiteit toepaslik verwater? Wat is 'n netto bedryfskapitaalpen? Hoe word dit bereken? Hoe kan kopers dit gebruik om transaksiewaarde te erodeer?
  • Hoe weet jy dat die transaksie wat aangebied word, mededingend is met wat daar buite in die mark is? PE-fondse koop maatskappye vir 'n lewe, so hulle is baie slim onderhandelaars.
  • Omsigtigheidsondersoek in PE-transaksies is baie streng. Terwyl ywer 'n feit van die lewe is in alle transaksies, hoe weet jy dat 'n koper se versoek redelik is? Hoe weet jy dat die tydsberekening van elke ywer-item nie jou besigheid sal inmeng nie?
