Durante esta sesión abordaremos muchos temas. Analizaremos las implicaciones financieras de vender una empresa a un comprador estratégico, qué tipos de estructuras de negocio prefieren y en qué se diferencian esos componentes de los que se suelen observar en las operaciones de capital privado. Por ejemplo, los compradores estratégicos suelen tener una visión diferente del capital retenido que los fondos de capital privado y otros compradores financieros. También existen diferencias no financieras entre sus respectivos enfoques, que suelen presentarse durante la debida diligencia. Elegir ser adquirido por un comprador estratégico también puede afectar la cultura de la empresa de una manera más pronunciada que optar por un comprador financiero. Los dos tipos de compradores tienden a afectar las operaciones diarias de diferentes maneras.
